1. Definitions
In these Terms of Service: “SkyNet”, “we”, “us” and “our” mean Skynet Worldwide Express Germany GmbH; “website” means this website and all of its subpages; “you” and “your” mean any person who accesses or uses the website; “services” means the logistics, transport, warehousing, fulfilment and forwarding services we provide; “content” means all material made available on or through the website; and “ADSp 2017” means the German Freight Forwarders' Standard Terms and Conditions 2017 in their currently recommended version.
2. Scope & acceptance
These terms govern your access to and use of the website. By accessing or using the website you agree to be bound by these terms in their version applicable at the time of use. If you do not agree, you must not use the website. These terms apply to the website itself; the provision of our logistics services is subject to the separate contractual terms set out in section 11.
3. Use of the website
You may use the website only for lawful purposes and in accordance with these terms. In particular, you must not: use the website in any way that breaches applicable law or regulation; interfere with or disrupt the website, its servers or networks; attempt to gain unauthorised access to any part of the website, accounts or systems; introduce malware or other harmful code; scrape, harvest or collect data from the website by automated means; place undue load on our systems, for example through automated bulk queries of tracking or other tools; or misrepresent your identity or affiliation. We may investigate and take appropriate action, including denying access, in response to any suspected misuse.
4. Registration & customer accounts
Certain areas of the website — such as a customer portal — may require registration or the use of access credentials. Where you register or are issued credentials, you are responsible for keeping them confidential and for all activity carried out under them. You agree to provide accurate and complete information, to keep it up to date, and to notify us promptly of any unauthorised use. We may suspend or withdraw access to any registered area at our reasonable discretion.
5. Changes to the website & these terms
We may modify, update, suspend or discontinue the website or any part of it, and may change these terms, at any time. Where we change these terms, the version published on this page applies, and your continued use of the website after such changes constitutes acceptance of them. We recommend reviewing this page from time to time.
6. Termination of use
We may restrict, suspend or terminate your access to the website (in whole or in part) at any time, in particular where you breach these terms or misuse the website, without notice and without liability to you. Provisions which by their nature should survive termination — including those on ownership, disclaimers, limitation of liability, indemnity and governing law — remain in effect.
7. Ownership
The website and all content on it — including text, graphics, logos, icons, images, the SkyNet name and marks, the selection, arrangement and layout of the website, and the underlying software — are owned by SkyNet or its licensors and are protected by copyright, trademark and other intellectual-property laws. Subject to your compliance with these terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the website for your own informational or internal business purposes.
Except as expressly permitted, you may not copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, frame, create derivative works from, sell or otherwise exploit any content without our prior written consent. All rights not expressly granted are reserved. Nothing on the website should be construed as granting any licence or right to use any trademark without our written permission or that of the respective owner.
8. Disclaimer of warranty
The website and its content are provided “as is” and “as available”, without warranties or representations of any kind, whether express or implied, including but not limited to implied warranties or conditions of accuracy, completeness, availability, merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the website will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the website or the servers that make it available are free of viruses or other harmful components.
Any information made available on the website — including shipment tracking data, service descriptions, transit times and indicative information — is provided for general guidance and convenience only and may not always be current, complete or accurate. Nothing in this section excludes or limits any warranty, right or remedy that cannot be excluded or limited under applicable mandatory law.
9. Limitation of liability
To the fullest extent permitted by law, SkyNet and its directors, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, data or goodwill, arising out of or in connection with your access to or use of, or inability to use, the website, whether based on contract, tort, statute or otherwise, and even if we have been advised of the possibility of such damages. To the extent our liability is not otherwise excluded, it shall be limited to the extent permitted by law.
This section relates to the website only. Our liability in connection with the provision of logistics, transport and forwarding services is governed by the ADSp 2017 and applicable mandatory transport law (see section 11). Nothing in these terms excludes or limits our liability for injury to life, body or health, for intent or gross negligence, for the breach of material contractual obligations, or under any mandatory statutory provision (including the German Product Liability Act), where such exclusion or limitation is not permitted.
10. Indemnity
To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless SkyNet and its directors, employees, agents and affiliates from and against any claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these terms, your misuse of the website, any content you submit, or your violation of any applicable law or the rights of any third party.
11. Logistics services & Terms of Carriage (ADSp 2017)
Our forwarding, transport, warehousing and logistics services are performed exclusively on the basis of the German Freight Forwarders' Standard Terms and Conditions 2017 (Allgemeine Deutsche Spediteurbedingungen 2017 – ADSp 2017) in their currently recommended version, which form part of every contract concluded with us for such services. The ADSp 2017 govern, among other things, the rights and obligations of the parties, cover and insurance, and the limitation of our liability for loss of or damage to goods in our care (in particular clause 23 ADSp 2017).
Important notice on the limitation of liability (Ziffer 23 ADSp 2017). In deviation from the statutory liability regime, Ziffer 23 ADSp 2017 limits our liability for loss of or damage to goods in our care. Beyond the statutory limit of 8.33 SDR per kilogram under § 431 HGB, our liability for such loss or damage is additionally capped at EUR 1 million per claim, or 2 SDR per kilogram if that is higher, and at EUR 2 million per damaging event, or 2 SDR per kilogram if that is higher; and, where the loss or damage occurs during carriage by sea-going vessel, it is limited to 2 SDR per kilogram. These limits deviate from — and are lower than — the liability that would otherwise apply by law.
Where international carriage applies, mandatory international conventions — such as the CMR for carriage by road, the Montreal Convention for carriage by air, or the Hague-Visby Rules for carriage by sea — take precedence over the ADSp 2017 to the extent they are applicable. The full text of the ADSp 2017 is available from us on request and from the German Freight Forwarders' Association (DSLV) at dslv.org.
12. Tracking & online tools
Shipment tracking and other online tools are provided for your convenience. While we work to keep them accurate and available, we do not warrant that the information is complete, accurate or uninterrupted, and it does not replace official confirmation of a shipment's status. Tracking numbers you enter are transmitted to our shipping platform to retrieve status information, as described in our Privacy Policy.
13. Links to other websites
The website may contain links to websites operated by third parties. These links are provided for convenience only. We do not control, endorse or assume responsibility for the content, products, services, availability or privacy practices of any third-party website. Accessing any linked website is at your own risk, and we recommend that you review the terms and privacy policies of any website you visit.
14. Privacy Policy
Your use of the website is also subject to our Privacy Policy, which explains how we collect and process personal data and what rights you have. Please read it carefully; by using the website you acknowledge the processing described there.
15. Export controls & sanctions
You agree to comply with all applicable export control, customs, and economic sanctions laws and regulations. You represent and warrant that any shipment you entrust to us does not violate such laws, is not destined for an embargoed country or a restricted or sanctioned party, and does not contain prohibited or undeclared goods. We may refuse, suspend or return any shipment, and decline to provide any service, where doing otherwise would breach applicable law.
16. Governing law & severability
These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the place of jurisdiction for any disputes arising out of or in connection with these terms is Munich (München), Germany.
If any provision of these terms is or becomes invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid or unenforceable provision shall be deemed replaced by a valid and enforceable provision that most closely reflects its original intent.
